TERMS AND CONDITIONS OF USE
The caliperls.com website (the "Site") is a copyrighted work belonging to Caliper Life Sciences, Inc. ("Caliper"). Caliper grants you the right to access and use the Site subject to the following terms and conditions (the "Terms of Use").

PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING THE SITE, OTHER THAN TO READ THESE TERMS OF USE FOR THE FIRST TIME, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THIS SITE.

LICENSE GRANT. Subject to the terms and conditions of this agreement, Caliper grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the materials contained on the Site (the "Content") and make such copies only as may be incidentally created during your exercise of the foregoing license. The Site and the Content are copyrighted works of Caliper and/or its partners. Neither the Site nor the Content may be reproduced, displayed, modified or adapted, distributed, or transmitted in any form by any means (including but not limited to electronic duplication or transmission) without the prior written permission of Caliper except as set forth in these Terms of Use.

CHANGES TO THE TERMS OF USE. Caliper may at any time revise the Terms of Use by posting amended terms on the Site. All amended terms shall automatically become effective once they are posted on the Site. By using the Site, you agree to be bound by any such revisions and therefore you should periodically visit this page to examine the then current Terms of Use. Certain provisions of these Terms of Use may be superseded by expressly designated legal notices located on particular pages of this Site. 

CHANGES TO THE SITE. Caliper reserves the right at any time and periodically to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that Caliper will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site. 

SUBMISSIONS AND FEEDBACK. Caliper will treat any feedback, suggestions, data, comments, or concepts (collectively, "Submissions") that you provide as non-confidential and non-proprietary. Thus, in the absence of a written agreement with Caliper to the contrary, you agree that you will not submit confidential or proprietary information to Caliper, and if you do, those submissions become the property of Caliper. 

ACCESS AND INTERFERENCE. You agree that you will not use any device, software, or programming routine to interfere or attempt to interfere with the proper working of the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure.

LINKS TO OTHER WEB SITES. Caliper cannot control and is not responsible for the content of any other Web site linked to or from the Site. If you link to another site outside the Caliper Site, you leave our Site. If you decide to link to another site, you do so entirely at your own risk. Caliper may provide links from the Site to other sites, but this is done solely as a convenience to you and in no way should be interpreted as an endorsement of any content, sponsor, or owner of any other site. CALIPER SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CALIPER DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION PROVIDED ON THE SITE. CALIPER DOES NOT WARRANT THAT USE OF THIS SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT ANY REQUESTED EMAIL ALERTS WILL BE DELIVERED IN A TIMELY MANNER. CALIPER'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THE TERMS OF USE IS LIMITED TO $50.00. Some jurisdictions do not allow the limitation of liability, so the foregoing limitation may not apply to you. 

GENERAL. The Terms of Use will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts of California, as such laws apply to contracts between Massachusetts residents performed entirely within Massachusetts. You agree that upon Caliper's request, all disputes arising hereunder will be adjudicated in the state and federal courts having jurisdiction over disputes arising in Santa Clara County, California, and you hereby agree to consent to the personal jurisdiction of such courts. If any provision of the Terms of Use shall be held by a court of competent jurisdiction to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force and effect.
